Important: By accessing or using Zaelo Hub ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree, please do not use the Platform. These Terms are governed by the Laws of the Federal Republic of Nigeria, including the Nigerian Data Protection Act 2023 (NDPA), the Cybercrimes (Prohibition, Prevention etc.) Act 2015, and the Consumer Protection Council Act (Cap C25 LFN 2004).
1. Definitions
- "Zaelo Hub" or "the Platform" refers to the online marketplace operated by Zaelo Hub Technologies Limited, a company registered under the Companies and Allied Matters Act (CAMA) 2020 of Nigeria.
- "User" means any individual or entity that creates an account, browses, buys, or sells on Zaelo Hub.
- "Buyer" means a User who purchases goods through the Platform.
- "Seller" or "Merchant" means a User who lists goods for sale on the Platform.
- "Escrow" means Zaelo Hub's payment-holding mechanism where funds are held on behalf of the Buyer until delivery is confirmed.
- "Transaction PIN" means the 4-digit personal identification number used to authorise wallet transactions.
2. Eligibility & Account Registration
You must be at least 18 years of age to use Zaelo Hub, in compliance with Nigerian law. By registering, you represent that:
- All information you provide is accurate, current, and complete.
- You will maintain the security of your account credentials and Transaction PIN.
- You will notify us immediately of any unauthorised access to your account.
- You will not create multiple accounts for fraudulent purposes.
Zaelo Hub reserves the right to suspend or terminate accounts that violate these Terms, in accordance with the principles of fair hearing under the 1999 Constitution of Nigeria (as amended).
3. Marketplace Rules
3.1 For Sellers
- All product listings must contain accurate descriptions, genuine photographs, and truthful pricing, in line with the Consumer Protection Council Act.
- Sellers must fulfil orders within the agreed timeframe or risk dispute escalation.
- Sellers are solely responsible for the quality, legality, and safety of their goods.
- Merchant verification is required for store features. Zaelo Hub may conduct identity verification including face verification.
3.2 For Buyers
- Buyers must pay through Zaelo Hub's payment system (Wallet or Bank Transfer via Flutterwave) for escrow protection.
- Buyers must inspect goods upon delivery and confirm receipt honestly.
- Buyers must not abuse the dispute system with false claims.
4. Prohibited Items & Conduct
The following are strictly prohibited on Zaelo Hub, in compliance with Nigerian criminal law, the NAFDAC Act, and the National Drug Law Enforcement Agency Act:
- Illegal drugs, controlled substances, and unapproved pharmaceuticals
- Firearms, weapons, explosives, and military equipment
- Counterfeit goods, pirated software, or items infringing intellectual property rights (as per the Copyright Act 2022 and Trade Marks Act)
- Stolen property or goods of suspicious origin
- Human organs, wildlife products protected under CITES or Nigerian wildlife law
- Pornographic material or items sexualising minors (as per the Child Rights Act 2003)
- Pyramid schemes, multi-level marketing schemes, or fraudulent investment opportunities
- Any goods whose sale would violate applicable Nigerian, state, or local law
5. Escrow & Payment Terms
Zaelo Hub operates a secure escrow system to protect both Buyers and Sellers:
- When a Buyer makes a purchase, funds are held in escrow — not released to the Seller until the Buyer confirms delivery.
- A tiered escrow fee (based on product price) is applied to each transaction to cover platform and payment processing costs.
- Payments are processed through licensed payment partners (Flutterwave) in compliance with Central Bank of Nigeria (CBN) guidelines on electronic payments.
- Wallet deposits and withdrawals are subject to our Escrow Policy.

6. Fees
- Listing: Listing products on Zaelo Hub is free.
- Escrow Fee: A tiered percentage of the transaction total (based on product price), charged to the Buyer at checkout.
- Wallet Deposits: Flutterwave gateway fees may apply.
- Withdrawals: A flat transfer fee may apply depending on the withdrawal method.
- Zaelo Hub reserves the right to adjust fees with 30 days' prior notice to Users.
7. Intellectual Property
All Zaelo Hub branding, logos, designs, and proprietary software are owned by Zaelo Hub Technologies Limited and protected under the Copyright Act 2022 and Trade Marks Act (Cap T13 LFN 2004). Users may not reproduce, distribute, or create derivative works without prior written consent.
Sellers retain ownership of their product images and descriptions but grant Zaelo Hub a non-exclusive, royalty-free licence to display such content on the Platform for marketing and operational purposes.
8. Dispute Resolution
Zaelo Hub encourages amicable resolution of disputes. If a dispute arises:
- Negotiation: Parties are encouraged to resolve issues via in-app chat.
- Mediation by Zaelo Hub: If negotiation fails, either party can open a dispute. Zaelo Hub admin will review evidence and mediate.
- Arbitration: Unresolved disputes may be referred to arbitration under the Arbitration and Mediation Act 2023 of Nigeria.
- Litigation: As a last resort, disputes shall be subject to the exclusive jurisdiction of the High Court of Lagos State, Nigeria.

9. Limitation of Liability
To the maximum extent permitted by Nigerian law:
- Zaelo Hub acts as a marketplace intermediary and is not a party to the sale contract between Buyer and Seller.
- Zaelo Hub is not liable for the quality, safety, legality, or authenticity of items listed by Sellers.
- Zaelo Hub's total liability for any claim shall not exceed the escrow fees collected on the relevant transaction.
- Zaelo Hub shall not be liable for indirect, incidental, or consequential damages.
10. Indemnification
You agree to indemnify and hold harmless Zaelo Hub Technologies Limited, its directors, employees, and agents from any claims, losses, damages, or expenses arising from your use of the Platform, your violation of these Terms, or your violation of any third-party rights.
11. Privacy
Your use of Zaelo Hub is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal data in compliance with the Nigeria Data Protection Act 2023 (NDPA).
12. Modifications to Terms
Zaelo Hub may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 14 days before they take effect. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms.
13. Governing Law
These Terms shall be governed by and construed in accordance with the Laws of the Federal Republic of Nigeria. Any legal proceeding shall be brought in the High Court of Lagos State.
14. Severability
If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
